These Terms govern the use of Team17 Digital Ltd’s online games and other products to which you have access (the “Service”). In these Terms Team17 means Team17 Digital Ltd who are a registered company in England and Wales located at 3 Red Hall Avenue, Paragon Business Park, Wakefield, WF1 2UL, United Kingdom.
You should carefully read the following terms before using, purchasing, downloading or installing the service as they contain the terms which govern your use of the service. If you do not agree with these terms you may not use, purchase, download or install the service.
Team17 develops, provides and maintains games and related services (the “Service”). The Service is a copyright work of Team17 or its licensors. All use of the Service is governed by these Terms. The Service is solely for use by end users according to these Terms. Any use, reproduction or redistribution of the Service not in accordance with these Terms is expressly prohibited.
If you access the Service through a third party service provider such as Facebook (“TPSP”) you will be required to read, accept and adhere to that TPSP’s terms of use and privacy policy. You should read these carefully as they will govern your use of the Service through the TPSP.
Please note that if you access the Service through a TPSP you are required to comply with these Terms and those of the TPSP.
The Service includes, without limitation, certain online functionality, online network play connectivity and interactivity and other online features and are subject to the following Terms which apply to your use of the Service:
The Service is licensed, not sold. Your licence confers no title or ownership in the Service. All right, title, interest and ownership rights in the Service and any copyright, design right, database right, patents and any rights to inventions, know-how, trade and business names, trade secrets and trade marks (whether registered or unregistered) and any applications therefore and other intellectual property rights (“Intellectual Property Rights”), in or connected with the Service and each part thereof (including, by way of example only, any titles, code, themes, objects, characters, stories, catchphrases, concepts, artworks, animations, sounds, music, audio-visual effects and methods of operation) are owned by, belong to and vest in Team17 or its licensors. The Service is protected by copyright law, international copyright treaties and conventions and other laws. All rights are asserted and reserved. The Service may contain certain licensed materials and Team17 licensors may act to protect their rights in the event of any breach of these Terms. All trademarks are the property of their respective owners.
You may access the Service through a TPSP or directly from us. If you access the Service through a TPSP certain information will be shared with Team17 by the TPSP and you are referred to the section concerning this below.
Team17 may offer the opportunity to access the Service directly. In such instances the following terms will apply:
Team17 will not be liable in any amount or way for failure to perform any obligation under these Terms if such failure is caused by the occurrence of any unforeseen contingency beyond the reasonable control of such party including without limitation Internet outages, communications outages, fire, flood, war or act of God.
Except as provided above there are no other warranties, conditions or other terms, express or implied, statutory or otherwise, and all such terms are hereby excluded to the maximum extent permitted by law.
To the maximum extent permitted by law, Team17 gives no warranty in connection with the Service and excludes liability for any loss or damage of any kind howsoever arising, including without limitation any direct, indirect, punitive or consequential loss whether or not such arises out of any problem you notify to Team17 and Team17 shall have no liability to pay any money by way of compensation, including without limitation all liability in relation to:
You agree to indemnify, defend and hold Team17 and its licensors, partners, affiliates, contractors, officers, directors, employees and agents harmless from any claims, costs and expenses (including legal expenses) arising directly or indirectly from your misuse of the Service or use otherwise than in accordance with these Terms.
You further agree that Team17 would be irreparably damaged if these Terms were not specifically enforced, and therefore you agree that Team17 shall be entitled, without bond, other security, or proof of damages, to appropriate equitable remedies with respect to breaches of these Terms, in addition to such other remedies as Team17 may otherwise have available to it under applicable laws.
Team17’s licensors shall be third-party beneficiaries under these Terms and shall have the express right to enforce its provisions and to enjoy the benefits of its protections.
Team17 may also remove or suspend access to the Service at any time for any reason.
Purchases.
In the Service you may use a third party virtual currency such as Facebook Credits. You can use Facebook Credits and such other virtual currency, coins, cash or tokens as Team17 may from time to time introduce to obtain “virtual in-game items” (“Virtual Items”) and other goods or services, if available.
You are not permitted to trade, exchange, sell, rent or otherwise transfer or deal in the Virtual Items on your Account without the written permission of Team17. You shall not access or use any Account or Virtual Items which have been traded, exchanged, sold, rented or otherwise transferred or dealt with.
You can order Virtual Items through the Service, by providing your billing information, confirming the particulars of your purchase and re-affirming your agreement to these Terms. When you place an order to purchase Virtual Items from the Service, we may send you a confirmatory e-mail that will contain details of the items you have ordered. Please check that the details in the confirmatory e-mail that will contain details of the items you have ordered. Please check that the details in the confirmatory e-mail are correct as soon as possible and maintain a copy of it for you records. Team17 keeps records of transactions in order to deal with any subsequent queries. When you purchase Facebook Credits from Facebook, you are agreeing to Facebook’s Payment Terms. Team17 is not a party to this transaction. When you purchase virtual items or currency from the service you are directed to Facebook to acquire Facebook credits. The purchase of virtual items or currency is therefore from Facebook, who in turn will source the item immediately from us for your use.
For Virtual Items, your order via Facebook will be accepted by us when we make the Virtual Items available in your account for you to use on the Service or take payment for the Virtual Item, whichever comes first.
The provision of Virtual Items for use in Team17’s games is a service provided by Team17 that commences immediately upon acceptance by Team17 of your purchase as described above. By ordering Virtual Items you agree and accept that Team17 will provide them to you immediately following completion of your purchase. If you reside in the European Union and you purchase a product or service from Team17, you have the right to withdraw from a purchase within seven calendar days, commencing on the day after the date of purchase (the “Cooling Off Period”). However, you lose your right of withdrawal if the performance of the services begins before the end of the Cooling Off Period. Accordingly, please note that if you purchase Virtual Items from us, your right of withdrawal is lost as the performance of our services begins immediately once your purchase is completed
We reserve the right to terminate or suspend your account or your access to any or all of the Services at any time, for any reason and we have the right to terminate your account for what is, in our sole discretion and determination, deemed to be a violation or breach of these Terms of Service.
In the event your account or access to the Services is terminated, suspended or cancelled, whether by you or by Team17, you will not be entitled to any refund nor will any credits or in-game items (e.g. points in an online game) be credited to you or converted to cash or other form of reimbursement, and you will have no further access to your account or anything associated with it (such as points or in-game items). If your account is terminated or suspended by us, we also have the right to terminate or suspend and of your other accounts.
You hereby acknowledge that you have read and understand the foregoing Terms and agree that the action of using the Service is an acknowledgement of your agreement to be bound by these Terms. You also acknowledge and agree that these Terms are the complete and exclusive statement of the agreement between Team17 and you and that these Terms supersedes any prior or contemporaneous agreement, either oral or written, and any other communications between Team17 and you, including any inconsistent written license agreement accompanying the Service.
Team17 may make alterations to these Terms from time to time and these variations shall become effective immediately upon being accessible from our software and website.
In the event that any provision of these Terms shall be held by a court or other tribunal of competent jurisdiction to be
unenforceable, such provision will be enforced to the maximum extent permissible and the remaining portions of these Terms shall remain in full force and effect.
To the maximum extent permitted by the local law applicable in the country in which you obtain or use them, the Service, and these Terms are subject to English Law. In the event that English Law cannot apply in the country you obtained or use the Service local law will apply. The Service is intended for use and may only be used in countries where all such use is lawful.

1.1 The promoter and organiser of this competition is Team 17 Digital Limited of 3 Red Hall Avenue, Paragon Business Park, Wakefield, England, WF1 2UL (“Team 17“, “us” or “we”). These terms and conditions govern the legal relationship between Team 17 and you (referred to in these terms and conditions as “you”, “yours” or “Entrant”) in relation to the competition.
1.2 Please read these terms and conditions carefully, and in particular clause 6.3, 6.4 and 6.5 regarding how we will handle your personal data in relation to the competition.
1.3 The title of the competition is Overcooked Ghost Chef Plushie Discord Giveaway.
1.4 To enter the competition, entrants must: a) Sign into their Discord account, b) Join the official Overcooked Discord server, c) Navigate to the #giveaways channel, d) Click the emoji assigned to the competition post.
1.5 All information detailed on any of Team 17 websites (including but not limited to www.Team17.com, hereafter referred to as “Team 17 Websites”), digital platforms, games or apps or published in any of our newsletters in relation to the entry requirements for this competition form part of these terms. In the event of any discrepancy or conflict between that information and these competition terms, the specific competition terms and conditions will prevail.
1.6 Discord do not endorse or sponsor any competitions hosted by Team 17 and we are not affiliated with Discord in any way.
2.1 The competition will run from 1PM GMT on Monday 2nd November 2020 (the “Opening Date”) to 1PM GMT on Friday 6th November 2020 (the “Closing Date”) inclusive.
2.2 All competition entries must be received by Team 17 by no later than 1PM GMT on the Closing Date. All competition entries received after the Closing Date are automatically disqualified.
2.3 No purchase is necessary to enter the competition and there is no charge to register for use of a Team 17 Website.
2.4 Team 17 will not accept:
2.4.1 responsibility for competition entries that are lost, mislaid, damaged or delayed in transit, regardless of cause, including, for example, as a result of any postal failure, equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind; or
2.4.2 proof of posting or transmission as proof of receipt of entry to the competition.
2.5 By submitting a competition entry, you are agreeing to be bound by these terms and conditions.

3.1 All valid competition entries received by Team 17 before the Closing Date will be eligible for the prize draw process (“Prize Draw Pool“).
3.2 No fee is required to enter the Prize Draw Pool.
3.3 Within 7 days following the Closing Date (unless specified otherwise by Team 17 in writing), competition winners will be randomly selected from the Prize Draw Pool by way of the Giveaway Bot on Discord.
3.4 Details verifying the randomised selection from the Prize Draw Pool will be provided in accordance with the winner details in paragraph 6.
4.1 The competition is open to any entrants who do not reside in Northern Ireland, Italy or the Canadian province of Quebec (the “Competition Jurisdiction“) aged 13 years or over, except:
4.1.1 employees of Team 17 or its holding or subsidiary companies;
4.1.2 employees of agents or suppliers of Team 17 or its holding or subsidiary companies, who are professionally connected with the competition or its administration; or;
4.1.3 members of the immediate families or households of paragraphs 4.1 and 4.2.1 above.
4.2 If you are based outside of the Competition Jurisdiction, or your jurisdiction has legal or regulatory rules that invalidate these terms or make Team 17’s performance of them impossible, Team 17 will not accept your competition entry and you will be deemed to have been automatically disqualified from it.
4.3 In entering the competition, you confirm that you are eligible to do so and eligible to claim any prize you may win. Team 17 may require you to provide proof that you are eligible to enter the competition and reserves the right to disqualify any non-eligible entrant to does not eligible to enter the competition.
4.4 Team 17 will not accept competition entries that are:
4.4.1 automatically generated by computer;
4.4.2 completed by third parties or in bulk;
4.4.3 illegible, have been altered, reconstructed, forged, or tampered with;
4.4.4 photocopies and not originals; or
4.5 There is a limit of one entry to the competition per person. Entries on behalf of another person will not be accepted and joint submissions are not allowed.
4.6 Team 17 reserves all rights to disqualify you if your conduct is contrary to the spirit or intention of the prize competition.
4.7 Competition entries cannot be returned.
5.1 The prize is an Overcooked Unicorn Chef plushie and one is available to be won.
5.2 The prize is supplied by Team 17 Digital Limited of 3 Red Hall Avenue, Paragon Business Park, Wakefield, England, WF1 2UL (the “Supplier”).
5.3 Team 17 reserves the right to replace the prize with an alternative prize of equal or higher value if circumstances beyond Team 17’s control makes it necessary to do so.
5.4 Prizes are subject to availability. Team 17 reserves the right to substitute the prize with a cash alternative to the value of £20, or to substitute the prize with a prize of equal or greater value.
5.5 The prize is not negotiable or transferable.
5.6 In order to claim the prize, you must send a direct message to the person specified in the #giveaways channel once the prize draw closes.
6.1 The decision of Team 17 is final and no correspondence or discussion will be entered into.
6.2 Team 17 will contact the winner personally as soon as practicable after the Announcement Date, via Discord direct message. Team 17 will not amend any contact information once the competition entry form has been submitted.
6.3 Team 17 must either publish or make available information that indicates that a valid award took place. To comply with this obligation Team 17 will publish the Discord usernames of the prize winners in its Discord server on Friday 6th November (“Announcement Date“).
6.4 In addition to clause 3, within one month of the Closing Date of the competition, anyone can request information of the major prize winners by emailing community@team17.com or writing to: Competitions Team, Team 17 Digital Limited, 3 Red Hall Avenue, Paragon Business Park, Wakefield, England, WF1 2UL.
6.5 If you object to any or all of your Discord username and winning entry being published or made available, please contact Team 17 by emailing community@team17.com or writing to: Competitions Team, Team 17 Digital Limited, 3 Red Hall Avenue, Paragon Business Park, Wakefield, England, WF1 2UL. In such circumstances, Team 17 must still provide the information and winning entry to the Advertising Standards Authority on request. Please see our privacy policy for further information regarding this.
7.1 If you are the winner of the prize, you will have seven days from the Announcement Date to claim the prize by following the instructions set out in paragraph 5.6. If you do not claim the prize by this date, your claim to the prize will become invalid.
7.2 The prize may not be claimed by a third party on your behalf.
7.3 Team 17 will make all reasonable efforts to contact the winner. If the winner cannot be contacted or is not available or has not claimed their prize within ten days of the Announcement Date, Team 17 reserves the right to offer the prize to the next eligible entrant selected from the correct entries that were received before the Closing Date.
7.4 Team 17 does not accept any responsibility if you are not able to take up the prize.
8.1 Insofar as is permitted by law, Team 17, its agents or distributors will not in any circumstances be responsible or liable to compensate the winner or accept any liability for any loss, damage, personal injury or death occurring as a result of taking up the prize except where it is caused by the negligence of Team 17, its agents or distributors or that of their employees. Your statutory rights are not affected.
9.1Team 17 does not claim any rights of ownership in your competition entry.
10.1 Team 17 will only process your personal information as set out in its privacy policy. See also paragraphs 6.3 and 6.5, with regard to the announcement of winners.
11.1 If there is any reason to believe that there has been a breach of these terms and conditions, Team 17 may, at its sole discretion, reserve the right to exclude you from participating in the competition.
11.2 Team 17 reserves the right to hold void, suspend, cancel, or amend the prize competition where it becomes necessary to do so, including if any law or regulation is inconsistent with these terms or where any law or regulation makes Team 17’s performance of these terms impossible, unlawful, illegal or unethical.
11.3 These terms and conditions shall be governed by the law of England and Wales, and the parties submit to the non-exclusive jurisdiction of the courts of England and Wales.
